The short version
- You’re responsible for your agents: how you set them up, the accounts you connect, and everything they do for you.
- AI output can be wrong. Check it before you rely on it.
- Hosting is billed by Stripe. Usage funds for managed AI and code execution are prepaid, sold by us, and non-refundable unless the law requires otherwise.
- Follow the Acceptable Use Policy. We can suspend accounts that don’t, immediately.
- Hosted Mesh is a beta, provided as is. Our liability is limited to what you paid in the last 12 months.
1. About these terms
These Terms of Service (the “Terms”) are an agreement between you and Texture Corp, a Delaware corporation (“Texture”, “we” or “us”). They cover Hosted Mesh: the website at mesh.texturehq.com, the console, and the Mesh instances we host for you at runmesh.app addresses (together, the “Service”).
Our Acceptable Use Policy is part of these Terms. Our Privacy Policy explains how we handle personal information.
By creating an organization, accepting these Terms in the console, or using the Service, you agree to these Terms.
2. Who can use Hosted Mesh
- You must be at least 18 years old.
- You may use the Service for a business, or as an individual for yourself. If you accept these Terms for an organization, you confirm that you have authority to bind it, and “you” means that organization.
- You may not use the Service if the laws of the United States or another applicable country bar you from receiving it (see Export controls and sanctions).
3. Accounts and organizations
You sign in with an account we manage through our sign-in provider. Keep your sign-in methods secure, and tell us promptly if you suspect someone else is using your account.
Each hosted instance belongs to an organization. Organization owners control members, roles, billing and instances. You’re responsible for everything done in your organization, including by members you invite.
Give us accurate information and keep your email address current. We send required notices about billing, security and service changes there.
4. Your agents are your responsibility
Mesh agents follow your instructions and can act on their own: they send messages, call tools, run code and use the accounts you connect. You are responsible for:
- how you set up your agents, including their roles, prompts, instructions, permissions and tools;
- the accounts and services you connect, such as Slack workspaces, model provider keys and code execution accounts, and having the right to connect them;
- the content you and your agents send, receive or create (“Your Content”);
- every action an agent takes on your behalf, whether or not you reviewed it first.
Give each agent only the access it needs, and use approvals and limits so it does only what you intend.
5. AI output
Agents use AI models. Their output can be wrong, incomplete, out of date, biased or offensive, can resemble other people’s content, and agents can behave in ways you didn’t expect.
Nothing the Service produces is legal, medical, financial, tax or other professional advice. Check output before you rely on it, especially before it affects people, money or systems.
6. Third-party services
The Service works with services run by other companies, including:
- AI model providers, such as Anthropic and OpenAI, reached through OpenRouter;
- Modal, which runs code execution sandboxes;
- Slack, and other apps your agents connect to;
- Fly.io, which runs our infrastructure;
- Stripe, which handles payments.
Those services have their own terms and usage policies. When you or your agents use them through the Service, you must follow those terms and policies, including the usage policy of each model provider whose models your agents use. We aren’t responsible for third-party services, and they may change or stop working with the Service.
7. Bring your own keys
Instead of our managed services, you can connect your own accounts, such as your own model provider API key or your own Modal account. When you do:
- that provider bills you directly, under your agreement with them;
- you’re responsible for that account, its limits and charges, and following its terms;
- Mesh stores the key in your instance, encrypted with your instance’s own key, and uses it to run your agents.
We aren’t responsible for charges, limits or outages on accounts you connect.
8. Fees and payment
Hosting. New hosted instances are sold by Texture as per-instance subscriptions, with payments processed through Stripe. You’ll see the price before you subscribe. Existing subscriptions purchased through Stripe Managed Payments keep their original seller and payment terms: Link is the merchant of record for those subscriptions, handles their taxes, payment support and refunds, and appears on statements as LINK.COM*. Link may refund those purchases within 60 days under its own rules.
Saved payment details. Stripe securely stores your card for hosting and future usage purchases you authorize. Usage funds are purchased separately. Saving a card does not enable automatic usage reloads; those require your separate authorization.
Trials. Your first instance may come with a hosting trial. Its length is shown before you subscribe. Trials cover hosting only: AI and code execution are not part of any trial, and hosting trials, coupons and promotions never add usage funds.
Usage funds. Managed AI and managed code execution are paid from prepaid usage funds that you buy from us directly, separately from hosting. Usage funds:
- are charged in US dollars, and are available only with a US billing address for now;
- are spent at the rates shown when you turn a managed service on: the provider’s cost plus our management fee, with taxes separate;
- are reloaded automatically only if you turn on automatic reload, under the separate authorization you give when you do, which you can turn off at any time;
- are not cash, can’t be transferred, and can be used only for the Service;
- are non-refundable, except where the law requires a refund.
Spending limits. Your organization has a monthly spending limit, and we set daily usage and reload limits to protect your account. When your usage funds run out or a limit is reached, managed services stop taking new work until you add funds, raise the limit or the limit resets. Work in progress can stop partway through.
Failed and disputed payments. If a usage payment fails or is disputed, we may pause managed services for your organization until it’s resolved. If a hosting payment fails or your subscription ends, we may suspend your instance.
Taxes. Prices don’t include taxes. You pay applicable taxes on hosting and usage funds. For existing Managed Payments hosting subscriptions, Link continues to handle taxes under its original terms.
Price changes. We may change our prices. A new price applies to purchases made after the change, and we’ll tell you before it affects a subscription or automatic reload you already have.
9. Suspension and termination
You can stop using the Service at any time. If you cancel a hosting subscription in the console, the instance keeps running until the end of the period you paid for, then it is suspended.
We may suspend or limit the Service, or any part of it, immediately and without notice if:
- you or your agents violate the Acceptable Use Policy or these Terms;
- your use creates a security risk, or could harm the Service, other customers or anyone else;
- a payment fails or is disputed; or
- the law or one of our providers requires it.
Where it’s practical and lawful, we’ll tell you why and give you a chance to fix the problem. We may close your account if a problem isn’t fixed, or for serious or repeated violations. We may also stop offering the Service, or part of it, with reasonable notice.
When your account ends, your right to use the Service ends. Export anything you need first: how long we keep an instance’s data after it is suspended or deleted is still being confirmed (see our Privacy Policy). Terms that by their nature should continue, such as fees owed, disclaimers, limits of liability and indemnity, survive.
10. Your content and confidentiality
You keep all rights in Your Content. You give us permission to host, store, copy, transmit and process Your Content only as needed to provide, secure and support the Service, and as the law requires.
Your Content is stored in your instance’s database. Privileged Texture operators who run the hosting infrastructure can access it, and Hosted Mesh is not a zero-access or end-to-end encrypted service. Our Security page and Privacy Policy describe what is protected today and what isn’t.
Each of us will keep the other’s non-public business information confidential, use it only for this agreement, and protect it with reasonable care. This doesn’t cover information that is public, already known, independently developed, or that the law requires us to disclose.
If you send us feedback, we may use it freely.
11. Open-source Mesh
The Mesh software that runs your instance is open source and licensed separately under its own license. These Terms cover the hosted Service, not that software license, and nothing in them limits your rights under it.
12. Early access
Hosted Mesh is an early-access beta. Features, limits and prices may change or be removed, and the Service may have bugs or lose data. Keep your own copies of anything important, and don’t use the Service for safety-critical work.
13. Disclaimer of warranties
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that the Service will be uninterrupted, secure or error-free, that data won’t be lost, or that output will be accurate.
14. Limitation of liability
To the fullest extent the law allows, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, even if it was told they were possible.
To the fullest extent the law allows, our total liability for all claims about the Service is limited to the fees you paid for the Service in the 12 months before the event that gave rise to the claim, including hosting fees paid through Stripe and usage funds paid to us.
These limits don’t apply to your payment obligations or your indemnity obligations, or where the law doesn’t allow them.
15. Indemnification
You will defend and indemnify us, our affiliates, and our officers, employees and agents against third-party claims, and the resulting losses, damages and costs (including reasonable legal fees), arising from:
- Your Content;
- your agents and anything they do;
- accounts and services you connect;
- your violation of these Terms, the Acceptable Use Policy, the law, or anyone else’s rights or terms.
We’ll tell you promptly about a claim, let you control its defense, and cooperate at your expense. You may not settle a claim in a way that admits fault for us or binds us without our consent.
16. Export controls and sanctions
You must follow U.S. and other applicable export control and sanctions laws. You confirm that you and your users are not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and are not on a U.S. government list of restricted parties. Don’t use the Service, or let anyone use it, in violation of those laws, including for prohibited end uses.
17. Changes to these terms
We may update these Terms and the policies they include. Each version is dated at the top of the page.
If a change is material, we’ll ask you to accept the new version in the console before you continue using the Service. If you don’t agree, stop using the Service and contact us to close your account.
Other changes, such as clarifications or changes the law requires, take effect when we post them. Continuing to use the Service means you accept them.
18. Governing law and disputes
These Terms, and any dispute about them or the Service, are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be heard only in the state and federal courts located in Delaware, and both parties consent to those courts.
19. General
- Entire agreement. These Terms, with the policies they include and any checkout terms you accept, are the whole agreement between us about the Service.
- Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate, or as part of a merger, acquisition or sale of assets.
- Notices. We send notices to your account email address. Send notices to us at victor@texturehq.com.
- Severability and waiver. If a provision can’t be enforced, the rest still applies. Not enforcing a provision isn’t a waiver.
- Events beyond our control. Neither of us is responsible for delays or failures caused by events beyond reasonable control, except for payment obligations.
- Relationship. We are independent contractors. These Terms don’t create a partnership, agency or employment relationship, and give no rights to anyone else.
